1. Authorized Retailer Status

Authorized Retailer status is granted at the sole discretion of Space Cannon.

Approval provides access to wholesale pricing, retailer support, approved marketing materials, and other program benefits that may be offered from time to time.

Authorized Retailer status does not create an exclusive territory, exclusive market, guaranteed sales volume, employment relationship, partnership, franchise, or agency relationship between the retailer and Space Cannon.

Space Cannon reserves the right to approve, deny, suspend, or terminate Authorized Retailer status at any time.

2. Minimum Advertised Price (MAP)

The current MAP for the Space Cannon device is $149 USD unless otherwise communicated in writing by Space Cannon.

Authorized Retailers may not advertise, promote, publish, display, offer, or market Space Cannon products below the current MAP.

MAP applies to all forms of advertising and promotion, including but not limited to:

• Websites
• Online marketplaces
• Social media
• Email marketing
• SMS marketing
• Printed advertising
• In-store advertising
• Promotional materials

Space Cannon reserves the right to modify MAP pricing at any time.

3. Permitted Promotions & Bundles

Authorized Retailers may offer the Space Cannon as part of a bundle, giveaway, contest, promotion, or loyalty program provided that the Space Cannon device is not advertised below the current MAP.

Permitted examples include:

• Including accessories, merchandise, concentrates, or other products at no additional charge.
• Offering bundled packages that include the Space Cannon and additional items.
• Giving away Space Cannon devices as part of contests, raffles, promotions, loyalty programs, or customer appreciation events.
• Storewide promotions that do not advertise or imply a Space Cannon device price below MAP.

Prohibited examples include:

• Advertising the Space Cannon device below MAP.
• Applying discounts, coupons, promo codes, rebates, gift cards, or other incentives that reduce the advertised price of the Space Cannon device below MAP.
• Advertising bundle pricing that effectively values the Space Cannon device below MAP.

4. Product Representation

Retailers shall accurately represent Space Cannon products and shall not make false, misleading, unapproved, medical, therapeutic, or performance claims.

Retailers may not make statements regarding safety, health benefits, legality, warranties, or intended use that have not been approved by Space Cannon.

5. Brand Assets

Authorized Retailers may use Space Cannon trademarks, logos, product photography, videos, and approved marketing materials solely for the promotion and sale of genuine Space Cannon products.

Space Cannon reserves the right to require modification or removal of any content utilizing its intellectual property.

6. Orders & Payment

All orders are subject to acceptance by Space Cannon.

Space Cannon reserves the right to refuse, limit, cancel, modify, or delay any order at its sole discretion.

Any payment terms, credit terms, or special pricing programs offered by Space Cannon may be modified, suspended, or revoked at any time.

7. Retailer Conduct

Authorized Retailers agree to conduct business in a manner consistent with the reputation and standards of the Space Cannon brand.

Space Cannon may suspend or terminate Authorized Retailer status for:

• MAP violations
• Unauthorized pricing
• Misleading claims
• Brand misuse
• Fraudulent activity
• Unauthorized resale practices
• Conduct deemed harmful to the Space Cannon brand

8. Suspension & Termination

Space Cannon reserves the right to suspend, revoke, or terminate Authorized Retailer status at any time.

Upon suspension or termination, a retailer may lose access to:

• Wholesale pricing
• Product availability
• Marketing materials
• Retailer support
• Promotional programs
• Other retailer benefits

Termination shall not relieve either party of obligations incurred prior to termination.

9. Policy Changes

Space Cannon may update these Terms, MAP policies, pricing structures, product offerings, and retailer program requirements at any time.

Continued participation in the Authorized Retailer Program constitutes acceptance of any updated Terms.

10. Acceptance

By applying for or participating in the Space Cannon Authorized Retailer Program, the retailer acknowledges that it has reviewed, understands, and agrees to these Authorized Retailer Terms.
